Applicable Terms and Conditions.<\/strong><\/h2>\n<p>These general terms and conditions of sale (<strong>\u201cTerms and Conditions\u201d<\/strong>) govern the sale by Solinst Canada Inc. and\/or Solinst Eureka LLC (collectively, <strong>\u201cSolinst\u201d<\/strong>) of products (collectively <strong>\u201cProducts\u201d<\/strong>) referred to in Solinst\u2019s quotation, proposal or order acknowledgement, as the case may be (collectively referred to as the <strong>\u201cSolinst Documentation\u201d<\/strong>).<\/p>\n<p>Solinst\u2019s offer to sell Products to you (<strong>\u201cBuyer\u201d<\/strong>) is expressly conditional upon Buyer\u2019s acceptance of these Terms and Conditions, as evidenced by Buyer\u2019s issuance of an order for Products, Buyer\u2019s acceptance of any Products ordered, or Buyer\u2019s payment for any Product ordered. If any additional or different terms and conditions are included in any Buyer purchase order, other documentation or other communication made by Buyer (collectively,<strong> \u201cBuyer Forms\u201d<\/strong>), unless expressly agreed to in writing in a separately signed document by Solinst and Buyer, Solinst hereby objects to and rejects all such additional or different terms and conditions in any Buyer Forms, and no terms and conditions in any Buyer Forms will become part of the contract between Solinst and Buyer or bind Solinst <\/p>\n<p>Except as otherwise provided for herein, if any of these Terms and Conditions conflict with the Solinst Documentation, these Terms and Conditions will prevail. These Terms and Conditions are subject to change at any time in Solinst\u2019s sole discretion, provided that any such changes will not apply to any pre-existing orders. <\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;4.27.4&#8243; _module_preset=&#8221;default&#8221; header_font=&#8221;Ubuntu||||||||&#8221; global_colors_info=&#8221;{}&#8221;]<\/p>\n<h2><strong>2. Payment<\/strong><\/h2>\n<p>All orders are subject to credit approval by Solinst. Solinst reserves the right to modify credit terms. <\/p>\n<p>Solinst\u2019s invoices are issued in Canadian Dollars for Products delivered within Canada and in U.S. Dollars for Products delivered within the United States of America (USA). For all other Products whether delivered from Canada to the USA, the USA to Canada, or from either Canada or the USA to any other international destination, Solinst\u2019s invoices are issued in U.S. Dollars. All payments must be made in the currency specified on Solinst\u2019s invoice.  <\/p>\n<p>For Buyers with approved credit terms with Solinst, Solinst\u2019s standard payment terms are net 30 days from the invoice date. Late payments, dishonoured or refused payments shall bear interest at a rate of 1.5% per month (18% per annum). For Buyers without established credit terms with Solinst, prepayment of orders in full is required before orders are processed by Solinst. Any and all amounts due by Buyer to Solinst are payable without set-off, deduction, compensation or abatement.   <\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;4.27.6&#8243; _module_preset=&#8221;default&#8221; header_font=&#8221;Ubuntu||||||||&#8221; hover_enabled=&#8221;0&#8243; global_colors_info=&#8221;{}&#8221; sticky_enabled=&#8221;0&#8243;]<\/p>\n<h2><strong>3. Delivery, Risk of Loss and Title<\/strong><\/h2>\n<p>Buyer has the option of arranging for the delivery of Products from the applicable Solinst facility either collect on Buyer\u2019s own carrier account or, alternatively, prepaid on Solinst\u2019s carrier account. If delivery is effected through Solinst\u2019s carrier account, Solinst will charge Buyer, and Buyer will be responsible for paying to Solinst, all costs billed by the carrier to Solinst. If delivery is effected through Buyer\u2019s own carrier account, Solinst will charge back to Buyer any carrier costs that may be subsequently charged to Solinst by Buyer and Buyer will be responsible for paying Solinst for all such amounts.  <\/p>\n<p>For deliveries by Solinst Canada Ltd. to the USA, duty and brokerage are prepaid, and Solinst Canada Ltd. acts as the importer of record. For all other international deliveries by Solinst, Buyer is responsible for clearing the shipment and for all costs, including, without limitation, all transport, brokerage, customs, export charges, dues, fees and expenses and other like charges. <\/p>\n<p>All delivery dates are estimates only and Solinst does not guarantee delivery of Products on or by any delivery date. <strong>SOLINST WILL NOT BE RESPONSIBLE TO BUYER FOR ANY LOSSES, WHETHER DIRECT OR INDIRECT, INCIDENTAL OR CONSEQUENTIAL IN NATURE, OR FOR ANY LOSS OF REVENUE OR PROFITS, EVEN IF SOLINST WAS AWARE OF OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES, ARISING OUT OF OR RELATING TO ANY FAILURE OF PRODUCTS TO BE DELIVERED BY ANY SPECIFIED DATE.<\/strong><\/p>\n<p>Delivery and transfer of risk of loss for shipment of the Products shall be made FCA (Incoterms 2020) Solinst\u2019s applicable facility; Solinst Georgetown, Ontario, Canada or Solinst Austin, Texas, USA. Title to the Products passes to Buyer when the Products are loaded onto the first carrier at the applicable Solinst facility. <\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;4.27.6&#8243; _module_preset=&#8221;default&#8221; header_font=&#8221;Ubuntu||||||||&#8221; hover_enabled=&#8221;0&#8243; global_colors_info=&#8221;{}&#8221; sticky_enabled=&#8221;0&#8243;]<\/p>\n<h2><strong>4. Returns\/Cancellations\/Repairs<\/strong><\/h2>\n<p>Prior to delivery, orders can be cancelled without penalty unless otherwise stated on Solinst\u2019s order acknowledgement or other Solinst Documentation. Unless otherwise agreed to by Solinst in writing, no order of Products may be cancelled by Buyer following delivery.  <\/p>\n<p>Returns of Product after delivery are not permitted except for any Product that is defective or unless Solinst has otherwise agreed in writing to permit such return. Buyer is fully responsible for and must prepay all freight costs related to any Products returned to Solinst by Buyer. For any new and unused Products that Solinst agrees may be returned for credit, a restocking fee applies. Any credits will only be placed on Buyer\u2019s account, and no refunds will be issued.    <\/p>\n<p>All permitted Product returns require a \u201cReturn Merchandise Authorisation (<strong>\u201cRMA\u201d<\/strong>)\u201d issued by Solinst before being shipped back to Solinst. To protect the safety of Solinst\u2019s personnel, any returned equipment must also include a completed \u201cCleaning Certification\u201d the form of which is provided by Solinst, confirming that the returned Products have been properly cleaned and are free of any hazardous or toxic materials. Solinst reserves the right to refuse a return of any Product that has not been properly cleaned. Buyer will be responsible for all return and related costs that may be incurred by Solinst for any returned Product refused by Solinst including, without limitation, all return freight costs, cleaning costs, and any Solinst administrative fees and charges.    <\/p>\n<p>For repairs not otherwise covered by Solinst\u2019s Limited Warranty described in Section 5 below, Solinst\u2019s standard turnaround time for Solinst to conduct its assessment of the returned Product and issue a repair quotation is seven (7) business days. A rush service of less than three (3) business days is available upon request by Buyer for an additional fee per each unit of Product.  <\/p>\n<p>Solinst charges an assessment fee per each unit of Product whether the Product assessed is found to be defective or not. If Buyer does not provide direction to proceed with the repair of any defective Product within sixty (60) days of receipt of the repair quotation from Solinst, a $100\/month holding fee per RMA will be applied and charged to Buyer. <\/p>\n<p>[\/et_pb_text][et_pb_text _builder_version=&#8221;4.27.6&#8243; _module_preset=&#8221;default&#8221; header_font=&#8221;Ubuntu||||||||&#8221; hover_enabled=&#8221;0&#8243; global_colors_info=&#8221;{}&#8221; sticky_enabled=&#8221;0&#8243;]<\/p>\n<h2><strong>5. Limited Warranty<\/strong><\/h2>\n<p>Generally, but subject to the other provisions of this Section 5, Solinst warrants that all new Products manufactured by it and that are purchased by Buyer directly from Solinst or an authorised distributor of Solinst (a<strong> \u201cSolinst Authorised Distributor\u201d<\/strong>) will be free from defects in material and workmanship for a period of three (3) years from the date of delivery from the applicable Solinst facility. Software and firmware updates and new features are not included as part of the warranty unless agreed to in writing by the Seller and Buyer in a separately signed agreement.  <\/p>\n<p>The foregoing limited warranty applies only to the original Buyer of Products purchased either directly from Solinst or to the first end user purchasing Products through a Solinst Authorised Distributor and is not transferable. Any sale of transfer of the Product by the original Buyer or end user without Solinst\u2019s prior written approval voids this warranty.  <\/p>\n<p>The foregoing limited warranty covers defects in material and workmanship provided that such defects: (i) arise under normal use of the Product for the purposes for which the Product is intended; (ii) the Product is installed, operated and maintained in accordance with the Solinst Documentation and Product Manuals; and (iii) the Product is properly maintained and operated only within its published design specifications set out in the Product Manuals or otherwise available to Buyer from the technical datasheets that are made available by Solinst to Buyer with the delivered Products and which can also be downloaded online.    <\/p>\n<p>The foregoing limited warranty does not cover or extend to, and Solinst shall have no warranty obligation to Buyer with respect to: (i) consumable or expendable Product parts such as batteries, cables, tubing and connectors; (ii) damage to any Product caused by normal wear and tear, accident, misuse, neglect, improper installation or storage, inadequate maintenance, calibration errors, or unauthorised repair or modification; (iii) operation of any Product outside of stated specifications or environmental limits set out in the Product Manuals; (iv) damage to any Product resulting from acts beyond Solinst\u2019s control including power surges, acts of God including lightning, flooding, fire, wind, snow, hail, extreme temperatures or pressures, corrosion, or other natural events or disasters; (v) cosmetic damage to Products that do not affect the Products functionality; (vi) Products with serial numbers removed, defaced or altered; (vii) Products that have been rented, leased or resold to another party without Solinst\u2019s prior written approval; (viii) products or any part or component of the Products that are not manufactured by Solinst (however, such products, parts or components of the Products may be warranted by the relevant third party and Solinst will, where possible, extend to the Buyer any such third party warranty); (ix) Solinst\u2019s software or firmware (except as set out above); and (x) any cloud-based and third-party service provider services available via our website.           <\/p>\n<p>In order to avail itself of the foregoing Product warranty, the Buyer must: (i) contact Solinst at service@solinst.com to obtain an RMA number; (ii) provide Solinst proof of purchase of the Product subject to the warranty claim and a description of any defect in the material or workmanship of the warranted goods; and (iii) ship the defective Product, freight and insurance prepaid, to the address specified by Solinst. The Buyer will be responsible for any loss or damage of the Product during shipment.     <\/p>\n<p>Upon receipt by Solinst of the Product, Solinst will evaluate the Product within a reasonable period of time, and if the defect is covered by the foregoing limited warranty, Solinst shall, in its sole discretion, repair or replace the Product with a new or refurbished Product, or, if repair or replacement is not practical, refund the purchase price paid by the Buyer for the warranted Product. Force Majeure<\/strong><\/h2>\n<p>Solinst shall not be liable to Buyer for any failure to deliver or perform, or for any delay in delivering or performing, any obligations due to circumstances beyond Solinst\u2019s control including, but not limited to, acts of God, disease, pandemics and epidemics, acts of war, riots, insurrection, rebellion, terrorism, embargo, acts of any governmental authority, labour shortages, strikes or disputes, unavailability of components materials, or parts, power, energy or transportation or delays in transportation. No waiver of any provision of these Terms and Conditions shall be binding unless executed in writing by the party to be bound. The parties irrevocably attorn and submit to the exclusive jurisdiction of the courts of Ontario situated in the City of Brampton, and appellate courts therefrom.  <\/li>\n<li>b. For Products sold by Solinst Eureka LLC, these Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of laws principles that would require the application of the laws of another jurisdiction.
